Position Overview:

We are searching for a highly qualified Director of Legal Affairs to oversee the judicial aspects of our evolving business. You will ensure the company follows strict law guidelines and give legal advice to management about all relevant issues.


  • Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance, intellectual property, etc.)
  • Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights
  • Provide transactional support on mergers and acquisitions, reviewing, drafting and negotiating transactional agreements such as; share purchase agreements, asset purchase agreements, joint venture agreements, commercial agreements and transaction-related closing documents.
  • Collaborate with management to devise efficient defense strategies
  • Specify internal governance policies and regularly monitor compliance
  • Research and evaluate different risk factors regarding business decisions and operations
  • Apply effective risk management techniques and offer proactive advise on possible legal issues
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.)
  • Deal with complex matters with multiple stakeholders and forces
  • Provide clarification on legal language or specifications
  • Conduct work with integrity and responsibility
  • Maintain current knowledge of alterations in legislation


  • BSc degree in Law, J.D, LL.B, or equivalent
  • 10 - 15+ years proven experience practicing in corporate and commercial law, with experience in corporate finance, securities, or mergers and acquisitions
  • Called to the bar in a Canadian Province or US state
  • Knowledge and understanding of the Canadian cannabis regulations (asset)
  • Excellent knowledge and understanding of corporate law and procedures
  • Strong knowledge of copyright, trademarks, patents, etc (asset)
  • Full comprehension of the influences of the external environment of a corporation
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyze situations and information
  • Strong communication skills

The position includes public stock in the corporation.

Job Types: Full-time, Permanent

Salary: $140,000.00 per year
